FINAL AMENDED CONSTITUTION - 1992
ARTICLE I - NAME
SECTION 1. The name of this organization shall be the HOOK AND BULLET CONSERVAITON CLUB, INC.
ARTICLE II - OBJECTIVES
SECTION 1. Objectives of the HOOK AND BULLET CONSERVATION CLUB shall be as follows: To work in the conservation and restoration of our natural resources, in the propagation of fish and game, in the development of true sportsmanship in our citizenry and in developing a spirit of mutual understanding and cooperation between all classes and groups of our conservationists, nature lovers, farmers and sportsmen, to the end that the interests of each group may be served to the fullest extent, consistent with the rights and privileges of the others.
ARTICLE III - MEMBERSHIP
SECTION 1. Any individual expressing an interest in resource conservation and complying with the provisions of the Constitution and subsequently stated By-laws shall be eligible for application for membership in the HOOK AND BULLET CONSERVATION CLUB.
SECTION 2. Each new member after Dec. 1988 of the HOOK AND BULLET CONSERVATION CLUB shall pay into the Treasury of the Organization a membership fee of not less than $400.00, a non-refundable initiation of not less than $65.00, and annual dues of not less than $45.00, or $35.00 and work credit. Annual dues due upon November 1 of each year. All members not having their dues paid by November 1 shall be considered as delinquent. The original membership fee will not be returned until dues are paid. December 1 shall be the last date to pay dues. All members not paying dues by this date shall be dropped and fined $100.00 plus dues. These fines will be deducted from the original membership payment and the remainder returned to them.
If you wish to sell your share back to the club send a letter of your intentions along with all the keys that you are responsible for to the secretary prior to November 1. See Article 8 SECTION 5.
SECTION 3. Each member holding a share shall have the right to a vote upon all issues which shall come before the organization for decision and no member shall be permitted to cast the vote of another member. There shall be one vote per membership, regardless of the number of shares owned.
SECTION 4. A share may be passed on within a family or sold back ONLY to the HOOK AND BULLET CONSERVATION CLUB for the amount of $400.00 plus assessments.
SECTION 5. The membership of this organization shall be limited to a total of not more than 500 paid memberships.
SECTION 6. Complimentary passes must first pass approval of the membership committee and final approval of the Board of Directors.
SECTION 7. New passes shall be issued by the Secretary upon recommendation of the Membership Committee in compliance with Article III SECTION 6 of the Constitution.
SECTION 8. Each member in good standing shall have the privilege, along with members of his immediate family residing in his home, to full privileges of all Club facilities.
SECTION 9. Each member in good standing shall have the privilege of inviting guests to the club. Any non-member who is a guest at HOOK AND BULLET CONSERVATION CLUB shall only be a guest a total of three times each year.
SECTION 10. When a club member brings a guest (or guests) in to hunt or fish on Club grounds, then the guest’s catch is to be counted as part of the membership limit, not as another separate unit.
ARTICE IV - MEETINGS
SECTION 1. Meetings of the membership shall be held three times a year spring, summer and fall. Dates are to be determined by the Board. Meetings of the Board of Directors shall be held once a month. The dates shall be published in the newsletter. If any member wishes to know a date they can contact any board member.
SECTION 2. Special or call meetings may be held upon call of the President and any three Directors or by any group of members totaling as many as 10, provided that at least three days notice be given to all members of the Organization.
SECTION 3. Active members in good standing to the total of 10 shall constitute a quorum for the transaction of any and all business at any meeting.
SECTION 4. All meetings shall be conducted under the “Roberts Rules of Order.”
ARTICLE V - MANAGEMENT
SECTION 1. Management of the HOOK AND BULLET CONSERVATION CLUB shall be vested in a Board of Directors composed of the officers, as hereinafter stated, together with five members in good standing, who shall be selected in the manner hereinafter stated.
SECTION 2. Said Board of Directors shall be the ad interim administrative body of the HOOK AND BULLET CONSERVATION CLUB between meetings of the general membership and shall be powered to transact all business and manage all property and funds, as well as supervise all activities of the organization between general membership meetings.
SECTION 3. One-half the membership of the Board of Directors shall constitute a quorum for the transaction of business.
SECTION 4. If any member of the Board of Directors excepting ex-officio members, shall be absent from as many as three consecutive duly-called meetings of the Board, his position may be held vacant at the discretion of the Board.
SECTION 5. Directors, except ex-officio members, shall be elected to service two-year terms; such terms to be alternated. The terms of two Directors shall expire on the odd calendar year, and the terms of three Directors shall expire on the even calendar year.
SECTION 6. In any and all cases, where subjects are not covered by the constitution, the Board of Directors shall be empowered to act, excepting that it may not go contrary to the mandates of the general membership.
ARTICLE VI - AMENDMENTS
SECTION 1. This constitution may be amended at the summer hog roast membership meeting of the HOOK AND BULLET CONSERVATION CLUB at which a quorum is present, provided a two-thirds majority is inagreement with such amendment, provided that 30 days written notice of intent to amend shall have been given to each member in good standing.
ARTICLE VII - OFFICERS
SECTION 1. The officers of the HOOK AND BULLET CONSERVATION CLUB shall be a President, Vice President, Secretary and Treasurer. The offices of secretary and treasurer shall be compensated for expenses at the rate of ($200.00) two hundred dollars per annum.
SECTION 2. the Board of Directors, as governing body of the HOOK AND BULLET CONSERVATION CLUB shall have general control over all officers, committees and management of all affairs and funds; it shall be empowered to appoint any and all officers whose elections are not hereinafter provided for, it shall at its discretion, determine the amounts of monies to be spent on various projects, the salaries of any employees and the amounts to be allotted for current expenses.
SECTION 3. The President shall preside at all meetings of the HOOK AND BULLET CONSERVATION CLUB and its Board of Directors, and shall perform such other duties and have such other powers as normally pertain to the office.
SECTION 4. The Vice President shall preside over all meetings, in the absence of the President, and shall be particularly charged with membership strength of the organization.
SECTION 5. The Secretary and Treasurer shall keep accurate permanent records of the business transacted: such records to be presented to the Finance Committee for audit immediately following the annual election, and shall perform such other duties as may be prescribed by the Board of Directors. The treasurer shall receive all money accruing to the HOOK AND BULLET CONSERVATION CLUB, shall deposit same in a responsible bank and account for the same at all meetings. The treasurer shall post a Bond in the amount of $2,500.00; fee of said Bond to be paid by the Organization.
SECTION 6. All officers shall serve until their successors shall have been duly qualified, elected and installed.
ARTICLE VIII - FINANCES
SECTION 1. All funds of the HOOK AND BULLET CONSERVATION CLUB shall be deposited in such bank or banks as may be designated by the Board of Directors and all such disbursements of funds shall be numbered checks drawn by the Treasurer and countersigned by the President.
SECTION 2. The President and Board of Directors shall prepare an annual budget and submit said budget for approval at the fall membership meeting.
SECTION 3. The first day of November shall be designated as the beginning of the fiscal year for the HOOK AND BULLET CONSERVATION CLUB.
SECTION 4. Any decision to mortgage the club real estate shall require the approval of the membership at the summer hog roast meeting, thereof by a three-quarter majority vote of the active members present, provided that a 30 day written notice of intent to mortgage shall have been given to each member in good standing.
SECTION 5. After March 1, 1984 a fund of at least $2,000.00 will be set up to pay back membership cancellations. No monies may be paid out unless this fund is liquid. If there are 5 or more membership openings in the club, the board may consider the fund not liquid.
ARTICLE IX - ELECTIONS
SECTION 1. Annual elections shall be held the last meeting each year before the beginning of the fiscal year. At least 60 days prior to the meeting, the President shall appoint a nominating committee of five members, which committee shall have the duty of placing in nomination the names of candidates for each of the various elective offices. Any club member wishing to place themself or another club member in nomination must contact the nominating committee. These nominated members plus any additional nominations made from the floor providing the candidate is present and a member in good standing shall be the only persons to run for club office at the election. The voting shall start with the office of president, then vice president, then secretary, then treasurer. All the positions open for director shall be filled on one ballot. The candidates receiving the greatest number of votes for that office shall be declared elected.
SECTION 2. Any Officer or Director may be discharged for cause, provided that he shall first be given an opportunity to defend himself in open hearing and provided that he shall have been given two weeks advance notice of the date of said hearing. A majority vote of at least two-thirds of the membership of HOOK AND BULLET CONSERVATION CLUB shall be required to depose of any Officer or Director.
SECTION 3. No member will be allowed to run for, be appointed to, or serve as an Officer or committee member if initial membership fee is not paid in full.
SECTION 4. No member shall be permitted to be nominated to, be nominated for, or serve as a committeeman, serve on any committee or in any office if all dues or assessments are not paid in full.
SECTION 5. Voting in regular elections and depositions shall be conducted by secret ballot. In the election of officers the election committee will conduct the election in the following manner. The election committee shall furnish some official ballot. The ballots will be distributed to the voting membership present. To receive a ballot the member must present a current form of identification membership card, key, or driver’s license, etc. The election committee would have a current membership list for check off.
ARTICLE X - COMMITTEES
SECTION 1. The President shall appoint subject to approval of the Board of Directors standing committees as needed.
ARTICLE XI - SEVERANCE
SECTION 1. Any member of the HOOK AND BULLET CONSERVATION CLUB may be removed for cause, provided the charges be made known to him at least two weeks in advance of a hearing before the Board of Directors and provided further, that at least two-thirds of the vote of the members of the Board shall favor such removal.
SECTION 2. Any member or Officer so removed shall forfeit all rights in any funds or property belonging to the HOOK AND BULLET CONSERVATION CLUB, and the use of the name and insignia of the organization shall thereafter be denied him.
ARTICLE XII - FISHING
SECTION 1. Fishing in the Club waters shall be governed by the laws of the State of Illinois, and shall be limited to pole and line fishing only, and shall be limited to not more than two poles per person.
